These draft terms govern access to Researcher Center during its invited pilot. They are a working draft pending legal review, are not legal advice, and will be finalized before any paid or general-availability launch. During the pilot, your separate pilot or onboarding agreement also applies and controls if there is a conflict.
1. The service
- Researcher Center is a shared research knowledge base that returns answers grounded in, and cited to, the documents you upload, and declines when your sources do not contain the answer.
- The service is in beta/pilot. Features, limits, and pricing may change, and availability is provided on a best-effort basis with no uptime commitment.
2. Eligibility, accounts, and access
- Access is by invitation during the pilot. You must be authorized to act for your research group or organization and be of legal age in your jurisdiction.
- Data is organized by organization and workspace and is isolated per tenant. You are responsible for who you invite and for activity under your accounts.
- Keep credentials secure; notify us of any suspected unauthorized access.
3. Acceptable use
- Do not upload content you lack the rights to use, or that is unlawful, or that contains others' personal data without a lawful basis.
- Do not attempt to break tenant isolation, access other tenants' data, probe or attack the platform, or circumvent authentication, authorization, rate limits, or usage caps.
- Do not use the service to generate unlawful content, or in any way that violates your institution's policies or applicable law.
4. Your content and intellectual property
- You retain ownership of the documents and content you upload and the answers generated for you. We claim no ownership of your content.
- You grant us a limited license to store, process, and transmit your content solely to operate and provide the service to you (for example, extraction, chunking, embedding, retrieval, and answer generation).
- We own the platform, software, and our trademarks. These terms grant you no rights in them beyond use of the service.
5. AI features, accuracy, and usage caps
- The AI provider mode is set per organization: platform-managed, bring-your-own-key, or local/self-hosted. On the platform-managed path your source text, questions, and uploaded content needed for provider-backed OCR/transcription may be sent to the external AI provider; this is opt-in (see the Privacy page).
- Answers are generated from your sources and include citations, but AI output can be incomplete or wrong. Verify important results against the cited evidence; do not rely on the service for legal, medical, safety, or other professional decisions.
- Platform-managed AI usage, including provider-backed OCR and audio/video transcription when enabled, is metered and hard-capped per plan. At the cap, AI-backed requests or provider-backed ingestion may be blocked until the next period. No unlimited platform-paid usage; any overage is opt-in and off by default.
6. Fees
- The pilot is provided free of charge. No paid plans or self-service checkout are offered during the pilot, and we will not charge you without your express, separate agreement.
- Any prices shown (including in local currency) are non-binding drafts for validation and are not an offer to sell during the pilot.
7. Third-party services
The service relies on third-party providers for hosting, storage, email, and (on the managed path) AI inference. Your use may be subject to those providers' terms. See the Privacy page for the current sub-processors.
8. Disclaimers and limitation of liability
- The service is provided "as is" and "as available" during the beta/pilot, without warranties of any kind, and without an uptime or support SLA.
- To the maximum extent permitted by law, we are not liable for indirect, incidental, or consequential damages, or for loss of data or content. Keep your own copies of anything you upload.
9. Term, termination, and changes
- Either party may end participation in the pilot at any time. We may suspend or terminate access for violations of these terms or to protect the service or other tenants.
- On termination, you may request export or deletion of your data as described in the Privacy page.
- We may update these terms; material changes will be communicated to pilot participants. Governing law and venue will be specified in the final terms before general availability.
